Terms of Service

1. Agreement and authority

These terms govern a merchant's use of Grounded Order Edits. By installing, selecting a paid plan, or using the app, the merchant agrees to these terms with Grounded Carts. The person accepting must have authority to bind the merchant. Shopify's own terms continue to apply separately.

2. The service

Grounded Order Edits provides merchant-configured post-purchase order editing, eligibility rules, approval workflows, fulfillment protection, money-flow coordination, integrations, analytics, and recovery tools. Features may depend on a merchant's Shopify plan, permissions, payment gateway, fulfillment setup, installed integrations, and Shopify platform availability.

Pre-release, beta, or permission-gated features must not be represented to customers as generally available until the relevant Shopify access and production certification are complete.

3. Merchant responsibilities

• provide accurate account, billing, and support information;
• configure editing windows, rules, products, refunds, payments, fulfillment, and integrations for the merchant's actual operations;
• test the app and connected warehouse, 3PL, gateway, and automation workflows before enabling customer editing;
• maintain lawful notices, permissions, customer terms, return policies, and instructions for personal information processed through the app;
• review incidents and uncertain Shopify outcomes before retrying irreversible actions; and
• use the service only for lawful business purposes and authorized Shopify stores.

The merchant remains responsible for its products, orders, customer promises, taxes, fulfillment, refunds, and legal obligations. The app is an operational tool and does not provide legal, tax, accounting, or payment advice.

4. Plans, trial, renewal, and cancellation

Current pricing, trial length, billing cadence, taxes, and any plan limits are displayed through Shopify before acceptance. Unless the merchant cancels before the end of a trial or current billing period, a subscription renews for the selected cadence and Shopify processes the charge.

A merchant can cancel through Shopify's app subscription controls or by uninstalling where Shopify treats uninstall as cancellation. Access may continue until the effective cancellation date shown by Shopify. Charges already incurred are non-refundable except where required by law or expressly stated at purchase. Nothing in these terms excludes a statutory right or consumer guarantee that cannot lawfully be excluded.

5. Acceptable use

The merchant must not:

• circumvent authorization, tenant isolation, eligibility, payment, fulfillment, or rate-limit controls;
• use the app to deceive customers, manipulate reviews, evade Shopify requirements, or process data without authority;
• probe, disrupt, reverse engineer, resell, or copy the service except where law expressly permits; or
• upload malware, credentials, payment-card data, or unlawful content into free-text fields or integrations.

6. Data and confidentiality

Each party will protect the other's confidential information and use it only to perform this agreement, subject to lawful disclosure. Our handling of personal information is described in the Privacy Policy. The merchant instructs us to process buyer order information only to provide and secure the service, meet documented merchant choices, and comply with law and Shopify's mandatory privacy workflows.

7. Intellectual property and feedback

We and our licensors retain rights in the app, software, documentation, and brand. The merchant retains rights in its store data, content, and trademarks. During an active subscription, we grant the merchant a limited, non-exclusive, non-transferable right to use the service for its own Shopify stores. Feedback may be used to improve the service without identifying the merchant or disclosing confidential information.

8. Availability, support, and changes

We aim to operate the service reliably and provide the support described on the Support page, but availability can be affected by Shopify, gateways, integrations, networks, maintenance, or events outside reasonable control. We may change the service to improve security, reliability, compliance, or functionality. We will give reasonable notice of a material reduction where practicable.

9. Suspension and termination

We may suspend access to contain a security threat, unlawful use, non-payment, material breach, or platform risk. Either party may terminate as permitted by Shopify's billing controls and these terms. On termination, access ends and data is deleted or retained according to the Privacy Policy, mandatory Shopify webhooks, and applicable recordkeeping duties. Provisions that by nature should survive will survive.

10. Warranties and liability

To the maximum extent permitted by law, the service is provided without implied warranties beyond those that cannot be excluded. We do not warrant uninterrupted operation or that every order, gateway, app, or fulfillment configuration will be eligible.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss. Our aggregate liability arising from the service will not exceed the fees the merchant paid for the service in the 12 months before the event giving rise to the claim. These limits do not apply where they are prohibited or to liability that cannot lawfully be limited.

11. General

These terms and the information presented at plan acceptance form the agreement for the service. If a provision is unenforceable, the remainder continues. A failure to enforce is not a waiver. The merchant may not assign the agreement without consent, except with a genuine business transfer; we may assign it with our business subject to applicable law.
